BYLAWS OF

THE SULLIVAN COUNTY HISTORICAL SOCIETY

Article I
Membership and dues

      Section 1. Annual dues for individual members are $10, and $15 for a husband and wife.
      Section 2. Dues for life members are $50, and $75 for a husband and wife.
      Section 3. Annual dues for junior members under eighteen years of age $2.00.

Article II
Schedule and Quorum for Meetings

      Section 1. Regular meetings shall be held quarterly on the first Monday in January, April, July, and October. The annual business meeting shall be held on the first Monday in October.
      Section 2. Special meetings may be called by the president.
      Section 3. The board of directors shall meet every other month.
      Section 4. For action on matters under $10,000, seven members would be a quorum. Action on matters over $10,000 would require notice to members and 10% of the membership would be a quorum.

Article III
Duties of the Officers and Directors

      Section 1. The president shall preside at meetings, report annually on the activities of the society, and appoint committees. The president shall have the power to call special meetings.
      Section 2. The vice-president shall assume the duties of the president in the event of ansence, incapacity, or resignation. The vice-president shall be the chairman of the program committee. The vice-president shall be president elect.
      Section 3. The secretary shall keep the minutes of the meetings, maintain a list of members, and attend to correspondence.
      Section 4. The treasurer shall be responsible for the safekeeping of society funds in a reliable bank, paying authorized bills, and collecting dues. The treasurer shall render an annual report.
      Section 5. The board of directors shall have the power to conduct all affairs of the society pursuant to the constitution. At any meeting of the executive committee, four members shall constitute a quorum. The board of directors will elect its own chairman. The board of directors, through the chairman, shall render an annual report at each annual meeting.

Article IV
Committees

      Section 1. The society shall have the following standing committees:
1. Membership Committee--responsible for membership drives and processing new candidates for membership.
2. Program Committee--responsible for arranging suitable programs; for setting time and place of meetings.
3. Nominations Committee--responsible for making nominations for officers and members of the board of directors.
4. Library and Museum mCommittee--responsible for collecting, cataloging, cleaning, repair, and storage of historical objects; for arranging museum exhibits, and the correct historic interpretation of these exhibits; for the care and upkeep of museum quarters.
5. Historic Sites Committee--responsible for establishing the historic validity for sites proposed for marking; for marking historical sites; for arranging historical tours.
6. Publicity Committee--responsible for putting the work of the society before the public.
      Section 2. The president shall appoint members and the chairman of the standing committees.
      Section 3. Other committees, standing or special, may be appointed by the president as directed by the society or the executive committee.

Article V
Parliamentary Authority

      Section 1. The rules contained in Roberts' Rules of Order shall govern the proceedings of the society except in such cases as are governed by the constitution or bylaws.

Article VI
Amendments to the Bylaws

      Section 1. These bylaws may be amended at any regular or adjourned meeting by a two-thirds vote of those voting, provided notice was given at the previous meeting. Or it may be amended at a special meeting called for that purpose, with previous notice and a two-thirds vote. All proposed amendments shall be submitted in writing.
